APPLICATION FORM
Slovenia is a Central European country, one of the twenty most attractive for foreigners who want to do business here. This is due to a developed economy, an attractive real estate market, a stable financial system and a number of incentives offered for direct foreign investment. Slovenia has been a member of NATO and the EU since 2004 and has been using euro as its national currency since 2007. Let us discuss what is required to open a company in Slovenia.

ORGANIZATION TYPES AVAILABLE IN SLOVENIA

If foreigners plan to start a business in Europe, they need to familiarize themselves with the legal framework as well as the personal experience of business owners. This will help to better understand the current regulations. Let's briefly go through the types of firms that a foreigner can open in Slovenia.

Foreign firms are free to operate in Slovenia on behalf of the parent company as branches. If the country where the parent company is located is not part of the EU, the company must operate abroad for at least two years and have official representatives. Fluency in Slovenian is desirable.

For a full or limited partnership, it is enough to register two partners. In this case, no authorized capital is required, but in the event of liquidation, the partners' assets are used to cover the obligations of the partnership.
Limited liability partnership is another form of partnership. The silent partner contributes capital and is liable for debts, the general partner has unlimited liability.

For capitals in excess of 25000 euros, it is more profitable to open a DD (joint stock company). The company can have an unlimited number of founders and partners, management is carried out according to a one-level or two-level model.

The most attractive and cost-effective form of doing business is DOO (Limited Liability Company, or LLC). Registered capital starts from 7500 euros, the company can have no more than 50 members. This allows a foreigner to develop a small business and get a residence permit in a few months, with an opportunity to get Slovenian citizenship eventually.

The main advantage of opening a business in Slovenia in the form of an LLC is an opportunity to receive bank loans and to apply for grants. The law assumes that most economic activities are available to limited liability companies. Additionally, you may need to obtain permission or a license to conduct business in a particular sector.

REGISTRATION STAGES

Let us outline a few steps that you need to take to register your business in Slovenia:

  • deciding to open a business;
  • choosing a legal entity type;
  • reserving a corporate name;
  • obtaining a taxpayer identification number;
  • opening a corporate bank account with an authorized capital introduction;
  • drawing up the Charter;
  • obtaining a notary certification of the document;
  • registering with the tax agency.

Charter or Constituent Act are of a paramount importance. They specify the name, legal address, structure, information about shares, capital and participants, and other information. It is equally important for founders or directors from other countries to enter in the tax register and obtain a tax number, since the company must pay taxes in accordance with the state legislation of Slovenia.

TAXATION

Corporate income tax is usually 19%. Certain activities are tax exempt, such as charitable foundations and associations.
The general VAT rate is 22%. According to the current rules, a few items are subject to the VAT rate reduced to 9.5%, including supplies of food, medicines, medical equipment, certain types of real estate and works of art. Supply of newspapers and books in electronic and physical form is now subject to 5% VAT.
